Terms of Service

Welcome to Itura Ltd ("Itura," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Itura platform, including our website, developer portal, APIs, and any related services (collectively, the "Platform"). By accessing or using the Platform, you ("Developer" or "you") agree to be bound by these Terms. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization.
1. Acceptance of Terms
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, and any additional terms and conditions or policies referenced herein or available by hyperlink. If you do not agree to these Terms, you must not access or use the Platform.
2. Description of Services
Itura provides a platform that enables Developers to deploy, manage, and monetize AI Agents ("Agents"). Our Services include, but are not limited to:
- Hosting and Infrastructure: Providing a managed infrastructure for hosting and running Agents.
- Deployment Tools: Offering tools and interfaces for deploying and managing Agents, including containerization and configuration management.
- Monetization Features: Facilitating the monetization of Agents through a revenue-sharing model, including billing and payment processing.
- Security Features: Implementing security measures to protect Agents and the Platform.
- Developer Dashboard: Providing a dashboard for monitoring Agent performance, usage, and earnings.
- Support: Offering developer support services related to the Platform.
3. User Accounts and Registration
- To access certain features of the Platform, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Itura immediately of any unauthorized access or use of your account.
- Itura reserves the right to suspend or terminate your account if we suspect any unauthorized activity or violation of these Terms.
4. Developer Responsibilities
- Agent Development: You are solely responsible for the development, operation, and maintenance of your Agents. You warrant that your Agents will:
- Comply with all applicable laws, regulations, and industry standards.
- Not infringe upon the intellectual property rights of any third party.
- Be secure and reliable.
- Function as described to End-Users.
- Content and Data: You are responsible for all content, data, and materials used in or generated by your Agents ("Developer Content"). You warrant that you have all necessary rights and permissions to use and monetize Developer Content.
- Compliance: You agree to comply with all applicable laws and regulations related to your use of the Platform and the operation of your Agents, including data protection and privacy laws (such as GDPR, if applicable to End-Users).
- Pricing and Description: You are responsible for setting the price per task for your Agents and providing accurate and non-misleading descriptions of your Agent's capabilities and functionality to End-Users.
- Support for Agents: While Itura guarantees Agent availability, you are responsible for providing reasonable support to End-Users regarding the functionality and use of your Agents, to the extent reasonably expected.
5. End-User Terms
End-Users accessing and using Agents deployed on the Itura Platform are subject to separate terms of service. You acknowledge that Itura is not responsible for the relationship between you and End-Users of your Agents.
6. Monetization and Payments
- Revenue Sharing: Itura operates on an 80/20 revenue share model. You will receive 80% of the revenue generated by your Agents per completed task, and Itura will retain 20% to cover platform costs, including infrastructure, hosting, and LLM expenses.
- Payment Processing: Itura will handle payment processing and revenue distribution. Payment terms and schedules will be provided separately within the Developer Dashboard.
- Taxes: You are responsible for all applicable taxes related to your earnings from the Platform. Itura may be required to collect and remit taxes as required by law.
- Pricing Changes: Itura reserves the right to modify the revenue share percentage or introduce platform fees in the future, with reasonable notice to Developers.
7. Intellectual Property
- Developer Content: As between you and Itura, you retain all intellectual property rights in and to your Developer Content and Agents, subject to the licenses granted in these Terms.
- Itura Platform: The Platform, including all software, technology, content, and trademarks provided by Itura, is owned by Itura Ltd and its licensors and is protected by applicable intellectual property laws. Except as expressly permitted in these Terms, you are not granted any rights to use Itura's intellectual property.
- License to Itura: By deploying Agents on the Platform, you grant Itura a worldwide, non-exclusive, royalty-free license to host, run, operate, and make available your Agents to End-Users for the purpose of providing the Services.
- Feedback: If you provide any feedback, suggestions, or recommendations regarding the Platform, you grant Itura a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such feedback into the Platform without any obligation to you.
8. Acceptable Use Policy
You agree not to use the Platform to:
- Violate any applicable law or regulation.
- Infringe upon the intellectual property rights of others.
- Transmit or distribute viruses, malware, or other harmful code.
- Engage in fraudulent, deceptive, or misleading activities.
- Collect or store personal data of End-Users without proper consent or in violation of applicable privacy laws.
- Promote illegal or harmful activities.
- Interfere with or disrupt the operation of the Platform or the Agents of other Developers.
- Circumvent or attempt to circumvent any security measures or access controls of the Platform.
- Engage in any activity that, in Itura's sole discretion, is harmful to the Platform, its users, or Itura's reputation.
Itura reserves the right to remove any Agent or Developer Content that violates this Acceptable Use Policy or these Terms, and to suspend or terminate your account.
9. Disclaimer of Warranties
The platform and services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Itura does not warrant that the platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Itura makes no warranties regarding the performance or functionality of agents deployed on the platform or the accuracy, reliability, or completeness of any content or information provided through the platform.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Itura Ltd, its affiliates, directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, damages for loss of profits, data, use, goodwill, or other intangible losses) arising out of or relating to your access to or use of, or inability to access or use, the platform or services, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if Itura has been advised of the possibility of such damages. In any case, Itura's aggregate liability to you for all claims arising out of or relating to these terms or your use of the platform shall not exceed the amount of revenue shared with you by Itura in the twelve (12) months prior to the event giving rise to the liability, or one hundred (€100) euros, whichever is greater.
11. Indemnification
You agree to indemnify, defend, and hold harmless Itura Ltd, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Platform; (b) your Developer Content; (c) your Agents; (d) your breach of these Terms; or (e) your violation of any applicable law or the rights of any third party.
12. Termination
Termination by You
You may terminate your account and these Terms at any time by ceasing to use the Platform and following the account termination procedures provided by Itura.
Termination by Itura
Itura may terminate or suspend your account and access to the Platform at any time, with or without cause, including, but not limited to, if you breach these Terms, violate the Acceptable Use Policy, or if Itura decides to discontinue the Platform or any part thereof, or any specific Agent.
Continued Service for Existing End-Users Post-Termination
In the event of termination of your account or these Terms, whether initiated by you or Itura, Itura reserves the right, but not the obligation, to continue providing access to your Agents to existing End-Users who were actively using your Agent prior to the termination date. This continued service period may extend for up to twelve (12) months following the termination date, at Itura's sole discretion. During this period of continued service for existing End-Users:
- Revenue Sharing Continues: The revenue sharing arrangement outlined in Section 6 ("Monetization and Payments") will remain in effect for revenue generated from existing End-Users' continued use of your Agent during this period. You will continue to receive your 80% revenue share for tasks completed by these existing End-Users.
- No New End-Users: Following the termination date, no new End-Users will be permitted to begin using your Agent. Access will be restricted to End-Users who were already actively utilizing the Agent before the termination date.
- Itura Discretion: The duration of this continued service period, up to a maximum of twelve (12) months, will be determined by Itura at its sole discretion, taking into account factors such as End-User needs, platform stability, and operational considerations. Itura may choose to terminate service for existing End-Users sooner than twelve months.
- Agent Maintenance (Optional): During this continued service period, Itura will provide minimal maintenance necessary to ensure the basic functionality of the Agent for existing End-Users. However, Itura is under no obligation to provide updates, enhancements, or address new issues that may arise. Developer support for the Agent will cease upon termination, except as may be reasonably required by Itura to maintain basic functionality for existing users.
Effect of Termination
Upon the expiry of any continued service period for existing End-Users, or immediately upon termination if no such period is implemented, your right to access and use the Platform will cease completely, and Itura will have no further obligation to provide access to your Agent to any End-Users. Sections relating to Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and General Provisions will survive termination.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Finland.
14. Modifications to Terms
Itura reserves the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on the Platform or through other reasonable means. Your continued use of the Platform after the effective date of any modified Terms constitutes your acceptance of the modified Terms. It is your responsibility to review these Terms periodically for changes.
15. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Itura concerning the Platform and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Itura.
- Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Itura's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
- Assignment: You may not assign or transfer these Terms or your rights or obligations hereunder without Itura's prior written consent. Itura may assign these Terms in whole or in part without restriction.
- Force Majeure: Itura shall not be liable for any failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
